Effective Date: January , 2026

These Affiliate Program Terms of Service (“Terms”) govern participation in The Loan Atlas Affiliate Program (“Program”). By applying to or participating in the Program, you (“Affiliate”) agree to be bound by these Terms.

1. Program Enrollment

• Participation is subject to approval by The Loan Atlas.
• The Loan Atlas reserves the right to accept or reject any affiliate application at its sole discretion.
• Affiliates must provide accurate and complete information at all times.

2. Commission Structure

• Standard commission rate: 25% of Net Sales Revenue.
• Net Sales Revenue is defined as gross revenue actually received by The Loan Atlas, less applicable deductions (including but not limited to refunds, incentives, or secondary affiliate adjustments).
• Commissions are limited to a maximum of 12 months per referred member.

3. Eligible Referrals

• Eligible plans include monthly, annual (paid upfront), and corporate/group memberships.
• Self-referrals are strictly prohibited.
• Only one affiliate may be credited per referral.

4. Attribution & Referral Tracking

• Referral window is 30 days from the qualifying referral interaction.
• Last qualifying referral wins.
• Click-based referrals are tracked automatically via AffiliateWP.
• Sales-assisted referrals must be submitted prior to purchase using the Manual Referral Submission process.
• No retroactive, verbal-only, or split referrals will be honored.

5. Manual Referral Submissions

• Manual referrals must be submitted before the prospect completes checkout.
• Manual referrals expire after 30 days if no purchase occurs.
• Failure to submit a manual referral prior to purchase voids eligibility for commission.

6. Payouts

• Minimum payout threshold: $100.
• Payout cadence: Quarterly.
• Payouts are issued via ACH or check at The Loan Atlas’ discretion.
• Affiliates are responsible for providing valid payment and tax information.

7. Refunds, Chargebacks & Clawbacks

• If a referred member refunds before a payout is approved, the referral will be voided.
• If a refund or chargeback occurs after payout, The Loan Atlas reserves the right to claw back commissions from future payouts.
• Negative affiliate balances may occur and will be carried forward until recovered.

8. Compliance & Conduct

• Affiliates must represent The Loan Atlas honestly and professionally.
• Affiliates may not make false, misleading, or unapproved claims.
• Spam, deceptive marketing practices, or brand misuse are grounds for immediate termination.

9. Termination

• Either party may terminate participation at any time.
• Upon termination, unpaid commissions for valid, approved referrals up to the termination date will be paid according to the normal payout schedule.
• The Loan Atlas may withhold commissions earned through violations of these Terms.

10. Program Modifications

• The Loan Atlas reserves the right to modify, suspend, or terminate the Program or these Terms at any time.
• Continued participation after changes constitutes acceptance of the updated Terms.

11. Limitation of Liability

• The Loan Atlas shall not be liable for indirect, incidental, or consequential damages arising from participation in the Program.

12. Arbitration & Class Action Waiver

• Any dispute, claim, or controversy arising out of or relating to these Terms or participation in the Program shall be resolved by binding arbitration, rather than in court.
• Arbitration shall be conducted on an individual basis only. Class actions, collective actions, and representative actions are expressly waived.
• The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
• The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration provision.
• Judgment on the arbitration award may be entered in any court having jurisdiction.

13. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of the State of California.

14. Acceptance

Participation in the Affiliate Program constitutes acceptance of these Terms of Service.
